AGREEMENT
THIS AGREEMENT is made this day of , 20 , by and between Pitsco Education, LLC (hereinafter referred to as “"Pitsco") and (hereinafter referred to as “Purchaser”) for the purpose of Purchaser using the E-SESS software for administering competitive events to approximately participants. A purchase order may be used in lieu of this agreement. Purchase order must be received by Pitsco prior to any services being provided to Purchaser.
WITNESSETH:
In consideration of the covenants and promises set forth hereinafter, the parties hereto agree as follows:
- DEFINITIONS:
- “Customer Support” is available during the hours and days listed in paragraph 1(c).
- “System Training” is defined as training the Purchaser and/or Administrator to do the following:
- Import participants and administrators;
- Retrieve participants passwords;
- Run score reports for the Organization.
This one-timetraining is available free of charge (Any additional training sessions are available at a price of $40/hour.)

- Hours for Service and Support – Pitsco is available Monday through Friday, 8:00 a.m. to
5:00 p.m. CST. Customer service may be available outside these hours with reasonable notice. Pitsco is not available on the following holidays: Good Friday • Memorial Day • Independence Day • Labor Day • Thanksgiving Day • Friday after Thanksgiving • Christmas Eve through New Year’s Day. Customers will be notified in advance of any other prescheduled dates and times that Pitsco is not available.
- PAYMENT: Pitsco shall invoice the “bill to” information as provided by the Purchaser. Purchaser will be invoiced for all online assessments, and other services as listed herein. Payment is due within thirty
(30) days of receipt of invoice. Bill to information is:

- PRICE SCHEDULE: Pricing is as follows:
- The initial participant fee is $3.00 per assessment per participant. Each subsequent assessment for a participant is $1.50.
- Video Proctoring: $5.00 per participant/per assessment.
OPTIONAL ELECTIVE IMPORT SERVICES: Purchaser has the option to pay an additional fee to have Pitsco import their participant and/or administrator data from an Excel document.

(a) Purchaser must provide Pitsco an Excel spreadsheet that provides participant data, including participant name, corresponding demographics, and corresponding assessment enrollment. |

- TERM: The term of this Agreement shall commence on the first day of testing and end 90 days after the first day of testing. The anticipated testing dates are .

- ADDITIONAL COMMENTS ABOUT YOUR ORGANIZATION/TESTING WINDOWS:

- BINDING AGREEMENT: This Agreement sets forth the terms and conditions relative to the sale and use of the E-SESS Software for purposes of administering the above selected Competitive Events. A full executed Agreement must be received by Pitsco prior to any services being provided to Purchaser. Both parties recognize this as a fully binding agreement. Both parties recognize that the terms of a signed agreement are binding on all parties, regardless of whether a purchase order has been submitted by the Purchaser.
- ASSIGNMENT AND TRANSFER: The rights, privileges, and obligations set forth in this Agreement may not be transferred without the prior written consent of the parties.
- MODIFICATION: No modification or waiver of any of the terms of this Agreement shall be allowed unless by written agreement signed by both parties. No waiver of any breach or default hereunder shall be deemed waiver of any subsequent breach or default of the same or similar nature.
- HEADINGS: Headings are inserted for the convenience of the parties only and are not to be considered when interpreting this Agreement.
- GOVERNING LAW: This Agreement shall be construed and is governed by the laws of the State of Kansas, United States of America.
- ENTIRE AGREEMENT: This Agreement constitutes the entire agreement of the parties hereto with respect to the subject matter hereof and revokes, supersedes, and replaces any prior agreement, arrangements, or expressions of intent or understanding, oral or written, with respect to the subject matter hereof and may only be modified by the parties in writing.
